Discovery"},"content":{"rendered":"<div>\n<p>Paramount has agreed to a delay of its merger with Warner Bros. Discovery after a group of 12 states sued to stop the $111 billion deal. The U.S. Justice Department had previously approved the merger in June, which didn\u2019t come as much of a surprise given the politics of the parties involved. President Donald Trump is ideologically aligned with Paramount CEO David Ellison, the son of Larry Ellison, founder of Oracle.<\/p>\n<p>Trump has frequently lashed out at perceived political enemies in the media, and Paramount has purged anyone insufficiently loyal to the president from CBS News and its flagship show 60 Minutes. Paramount acquired CBS News in its merger with SkyDance Media last year, and many people are concerned about what will happen with networks like CNN (which is owned by Warner Bro. Discovery) if this new deal goes through.<\/p>\n<div>\n<\/div>\n<p>Variety notes that Paramount wanted to hold a three-day hearing on the merger in late August, but the state Attorneys General opposed that idea because it didn\u2019t allow enough time to gather evidence and prepare for a trial.<\/p>\n<p>Media reporter Justin Baragona shared the content of some text messages he received about the delay of the merger from CNN and CBS News employees. \u201cFuck the Ellisons!\u201d one CBS News staffer reportedly told Baragona. \u201cMy reaction: fuck yeah!\u201d a producer at CNN wrote.<\/p>\n<div>\n<\/div>\n<p>Paramount is characterizing the delay as a win, according to Variety. We look forward to proving our case at trial.\u201d<\/p>\n<div>\n<\/div>\n<p>The Writers Guild of America has also filed a federal lawsuit arguing that a merger wouldn\u2019t just violate antitrust law but also would specifically harm writers.<\/p>\n<p>\u201cWith fewer competitors, the merged Paramount-Warner Bros. entity would have both the incentive and the ability to lower costs by suppressing writers\u2019 wages and reducing output. Writers will be paid less and have fewer employment opportunities,\u201d the WGA suit explains.<\/p>\n<p>It\u2019s unclear where these latest developments leave the so-called \u201cticking fee\u201d that\u2019s included in the Paramount merger agreement. Paramount may have to pay a serious penalty to Warner Bros. Discovery if the deal isn\u2019t closed by September 30.
